Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Son of a Good Man LLC ("Company," "we," "our," or "us"), a company located in Long Beach, California. These Terms govern your access to and use of the ReciKey mobile application, the recikey.sonofagoodman.com website, and any related services (collectively, the "Services").

Other Son of a Good Man LLC products or applications may be governed by separate terms.

ReciKey was created to help preserve family recipes, stories, and culinary traditions across generations. We want users to feel informed and confident about how the Services operate and what responsibilities belong to both you and us.

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

Terms in Brief

1. Eligibility

You must be at least 13 years old (or the minimum legal age in your jurisdiction, if higher) to use the Services.

By using the Services, you represent that:

• You are at least 13 years old (or the minimum legal age in your jurisdiction);
• You have the legal capacity to enter into these Terms;
• Any information you provide is accurate and truthful; and
• You will comply with all applicable laws.

Children Under 13

ReciKey is not directed to children under 13, and we do not knowingly allow children under 13 to independently create accounts.

If we learn that we have collected personal information from a child under 13 without appropriate authorization, we will delete it promptly.

If you are a parent or guardian and believe your child has provided personal information improperly, please contact support@sonofagoodman.com.

2. Accounts

2.1 Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to:

• use strong and unique passwords;
• maintain accurate account information;
• keep your device and authentication methods secure.

2.2 Accurate Information

You agree to provide accurate and complete information and keep it updated.

2.3 Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms, applicable laws, or the safety and integrity of the Services.

We reserve the right, but not the obligation, to review, remove, restrict, or disable access to content or accounts that we believe violate these Terms, applicable law, or the safety, integrity, or operation of the Services.

3. Description of Services

Son of a Good Man LLC provides ReciKey, a digital platform designed to help users organize, preserve, and share family recipes and culinary heritage, including:

• Recipe preservation tools (text, photo, voice, and video);
• AI-assisted transcription and recipe structuring;
• Family tree and family recipe sharing;
• Import, translation, and accessibility tools;
• Community and content features.

Features may change, improve, or be discontinued at any time.

3.1 AI and Automated Features

Some features may use artificial intelligence, machine learning, or automated processing.

AI-generated outputs may contain inaccuracies, formatting issues, incorrect measurements, transcription mistakes, or incomplete interpretations and should always be reviewed by users.

No Professional Advice

ReciKey and any AI-generated outputs are provided for informational and organizational purposes only and do not constitute culinary, nutritional, medical, legal, genealogical, archival, or professional advice.

Users are solely responsible for verifying recipes, ingredients, allergen information, food safety procedures, preservation methods, measurements, and any other content before relying on it.

Recipe Safety Disclaimer

Recipes, cooking instructions, ingredient substitutions, preservation methods, and AI-generated cooking outputs may contain inaccuracies or unsafe recommendations.

Users are responsible for independently verifying:

• food safety;
• allergen concerns;
• ingredient compatibility;
• storage and preservation guidance;
• cooking procedures and temperatures.

We are not responsible for illness, allergic reactions, spoilage, foodborne illness, or damages arising from recipe preparation or consumption.

Allergen and Dietary Feature Notice

Any allergen labels, "contains" or "may contain" notices, dietary-preference flags (such as vegetarian, vegan, gluten-free, or dairy-free indicators), and nutritional values shown in the Services are automated, best-effort conveniences generated from recipe text and the preferences you provide. They are estimates, not guarantees. They may be incomplete, inaccurate, or out of date: a recipe may contain an allergen that is not labeled, and a label may appear for an allergen the recipe does not actually contain.

These features do not replace reading the full ingredient list and preparing food appropriately for your own allergies, intolerances, sensitivities, and dietary needs. You are solely responsible for deciding what is safe for you and others to cook, serve, and eat, and you knowingly assume all risk arising from your use of or reliance on these features. If you have a food allergy or any medical condition, consult a qualified professional and do not rely on the Services.

AI Output Ownership

Subject to applicable law and third-party provider terms, AI-generated outputs produced for you through the Services are treated as part of your User Content.

Because AI-generated content may not be unique, we do not guarantee exclusivity of AI-generated outputs.

4. Subscriptions and Payments

ReciKey offers free and paid subscription tiers.

Current pricing is displayed within the app and through the Apple App Store and Google Play.

4.1 App Store Purchases

If you purchase through Apple or Google:

• Payments are processed by Apple or Google;
• Subscriptions automatically renew unless canceled;
• Billing is governed by the applicable app store terms.

4.2 Auto-Renewing Subscriptions

By starting a subscription, you agree that:

• Payment will be charged at confirmation of purchase;
• Subscriptions automatically renew unless canceled before renewal;
• Renewal charges may occur within 24 hours before the billing period ends;
• Free trial periods may be forfeited upon purchase;
• You may manage subscriptions through your Apple ID or Google Play settings.

Deleting your ReciKey account does NOT cancel your App Store or Google Play subscription.

4.3 Refunds

Refunds are governed by Apple and Google policies.

4.4 Family Plans

Family subscriptions allow multiple users to share subscription access.

The subscription owner is responsible for all billing obligations.

If the subscription owner cancels or downgrades, shared members may lose access to paid features.

4.5 Beta Features

We may offer experimental, early access, preview, or beta features from time to time.

Beta features may be incomplete, unstable, contain errors, or change without notice and are provided "AS IS" without warranties of any kind.

5. User Content

5.1 Ownership

You retain ownership of content you upload, including recipes, photos, notes, audio recordings, videos, and family stories ("User Content").

5.2 License to Us

By uploading content, you grant Son of a Good Man LLC a limited, non-exclusive, revocable license to:

• host;
• store;
• reproduce;
• process;
• display;
• transmit;

your User Content solely to operate, maintain, improve, and provide the Services.

We do not claim ownership of your User Content.

You represent and warrant that you own or have all necessary rights, permissions, and consents to upload, share, process, reproduce, and distribute your User Content through the Services.

5.3 Content Responsibility

You are solely responsible for your User Content.

You agree not to upload content that:

• violates any law;
• infringes intellectual property rights;
• contains malware or malicious code;
• contains unlawful exploitative content;
• violates privacy or publicity rights;
• impersonates another person;
• is abusive, threatening, hateful, defamatory, fraudulent, or deceptive;
• misuses AI-generated content to deceive or misrepresent others.

We reserve the right, but not the obligation, to monitor, review, remove, restrict, or disable access to content that violates these Terms or applicable law.

We maintain a zero-tolerance policy for objectionable content and abusive or harassing behavior. We may remove such content and suspend or terminate the accounts of users who violate this policy, without prior notice.

5.4 Content From Other Users

The Services let you view, save, cook from, and interact with recipes and other User Content created by other people, including family, friends, community members, and users you discover through public feeds.

That content is created by those users, not by Son of a Good Man LLC. We do not author, endorse, verify, fact-check, or guarantee the accuracy, quality, safety, completeness, or reliability of User Content contributed by others.

Any recipes, ingredients, measurements, instructions, allergen or dietary information, nutritional values, photos, stories, attributions, or other claims you encounter from other users are the sole responsibility of the user who contributed them. You rely on them at your own risk and are responsible for verifying anything before you cook, serve, or consume it.

We are not responsible for User Content created by other users, or for any loss, illness, injury, dispute, or damage arising from your use of or reliance on it. If you believe content violates these Terms, report it to support@sonofagoodman.com.

6. Family Sharing Features

Family sharing is designed to help preserve recipes and culinary memories across generations.

You acknowledge that:

• you control what content you share;
• shared content may persist if others save or export copies;
• we are not responsible for disputes between users;
• you should share content only with trusted individuals.

We are not responsible for disputes between family members, contributors, heirs, estate representatives, or other parties relating to:

• shared recipes;
• stories or recordings;
• ownership claims;
• access permissions;
• family relationships or inheritance matters.

7. Prohibited Uses

You agree not to:

• reverse engineer or copy the Services;
• use the Services for unlawful purposes;
• attempt unauthorized access;
• interfere with security systems;
• scrape or extract data without permission;
• upload malware or harmful code;
• interfere with infrastructure or service availability;
• use the Services to harass, threaten, or abuse others;
• upload unlawful exploitative material;
• impersonate others;
• misuse AI features to generate deceptive or fraudulent content;
• violate export control or sanctions laws.

8. Intellectual Property

All trademarks, logos, software, design elements, branding, graphics, audiovisual content, layouts, workflows, interfaces, and platform content (excluding User Content) are the property of Son of a Good Man LLC or its licensors and are protected by intellectual property laws.

Except for the limited rights expressly granted in these Terms, no rights, licenses, or ownership interests are granted to you in the Services, software, branding, trademarks, designs, or platform content.

The visual appearance, design, layout, organization, user interface elements, graphics, icons, workflows, onboarding experiences, and overall look and feel of the Services may constitute protected trade dress, copyrighted material, and proprietary intellectual property of Son of a Good Man LLC.

You may not:

• copy;
• imitate;
• reproduce;
• mirror;
• frame;
• scrape;
• republish;
• create derivative works from;

the visual design, layout, workflows, onboarding experiences, branding, or user experience of the Services without prior written permission.

ReciKey™, Shelfmark™, Yami™, Son of a Good Man™, and associated logos are trademarks or pending trademarks of Son of a Good Man LLC.

Other product names, logos, and brands referenced in the Services belong to their respective owners.

9. Third-Party Services

The Services may integrate with third-party providers, including:

• Apple;
• Google;
• OpenAI;
• Deepgram;
• Mux;
• Supabase;
• Cloudflare;
• RevenueCat;
• analytics and authentication providers.

We are not responsible for third-party services, outages, interruptions, or provider actions.

9.1 Service Availability

We do not guarantee that the Services will always be available, uninterrupted, secure, error-free, or compatible with all devices or platforms.

Service interruptions may occur due to:

• maintenance;
• outages;
• cloud provider failures;
• internet disruptions;
• AI provider interruptions;
• cyberattacks;
• software bugs;
• force majeure events.

9.2 Mobile Data and Device Costs

You are responsible for mobile data, internet connectivity, storage, and device-related costs incurred while using the Services.

9.3 Apple and Google Platform Terms

These Terms are between you and Son of a Good Man LLC only, and not with Apple Inc. or Google LLC. Apple and Google are not responsible for the Services or their content.

Scope of License (Apple App Store): Your license to the ReciKey application is a non-transferable license to use the app on any Apple-branded products that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions.

Maintenance and Support: Son of a Good Man LLC, not Apple or Google, is solely responsible for providing any maintenance and support services for the Services. Apple and Google have no obligation whatsoever to furnish any maintenance or support services with respect to the Services.

To the maximum extent permitted by law, Apple and Google have no warranty obligation with respect to the Services. In the event the application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the application purchase price to you (if any); to the maximum extent permitted by law, Apple and Google have no other warranty obligation with respect to the Services.

Apple and Google are not responsible for addressing any claims by you or any third party relating to the Services, including product liability claims, claims that the Services fail to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.

Apple and Google are not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim relating to the Services.

You represent that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties.

Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, may enforce these Terms against you as a third-party beneficiary.

10. Privacy and Data Rights

Your use of the Services is governed by our Privacy Policy, incorporated by reference into these Terms.

Subject to applicable law, you may have rights to:

• access your data;
• export your data;
• correct inaccurate information;
• delete your account;
• withdraw consent for optional processing.

California, EU, EEA, UK, and other jurisdictions may provide additional privacy rights.

11. Copyright Complaints (DMCA)

Son of a Good Man LLC respects intellectual property rights and responds to valid DMCA notices.

12. Termination

We may suspend or terminate access if:

• you violate these Terms;
• required by law;
• continued operation becomes impractical;
• security, abuse, or fraud concerns arise.

You may stop using the Services at any time.

Deleting your account does NOT cancel App Store or Google Play subscriptions.

12.1 Inactive Accounts

We reserve the right to deactivate or delete inactive accounts after extended periods of inactivity consistent with operational, legal, and security requirements.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SON OF A GOOD MAN LLC DISCLAIMS ALL WARRANTIES, INCLUDING:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY OR RELIABILITY OF OUTPUTS;
• UNINTERRUPTED OR ERROR-FREE SERVICE.

13.1 No Guaranteed Preservation

While we strive to maintain reliable infrastructure and backups, ReciKey is not intended to serve as a guaranteed permanent archive, legal repository, or disaster recovery service.

Users are responsible for maintaining independent backups of important recipes, recordings, family stories, and memories.

13.2 No Monitoring Obligation

We are not obligated to monitor user activity or User Content, but we reserve the right to do so for operational, legal, security, moderation, or safety purposes.

14. Indemnification

You agree to defend, indemnify, and hold harmless Son of a Good Man LLC and its affiliates, employees, contractors, and service providers from claims, damages, liabilities, losses, and expenses arising from:

• your use of the Services;
• your User Content;
• your violation of these Terms;
• your violation of applicable law;
• infringement of third-party rights.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SON OF A GOOD MAN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING:

• LOSS OF DATA;
• LOSS OF FAMILY CONTENT;
• LOSS OF GOODWILL;
• EMOTIONAL DISTRESS;
• LOST PROFITS;
• SERVICE INTERRUPTIONS;
• DEVICE DAMAGE;
• CONTENT LOSS.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO USE THE SERVICES DURING THE 12 MONTHS PRECEDING THE CLAIM.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California.

Before filing formal claims, both parties agree to attempt informal resolution by contacting support@sonofagoodman.com.

Disputes that cannot be resolved informally will be resolved through binding individual arbitration administered by JAMS in Los Angeles County, California.

YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY AND NOT THROUGH CLASS ACTIONS.

You may opt out of arbitration within 30 days of first accepting these Terms by contacting support@sonofagoodman.com.

17. Changes to the Services and Terms

We may modify:

• features;
• pricing;
• subscription structures;
• usage limits;
• functionality;
• these Terms.

We will provide reasonable notice of material changes where legally required.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

18. Electronic Communications

By using the Services, you consent to receive electronic communications relating to:

• account activity;
• subscriptions;
• billing;
• legal notices;
• updates;
• security notifications.

19. Feedback

If you provide suggestions, ideas, feature requests, or feedback regarding the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without compensation or obligation to you.

19.1 Public Feedback and Testimonials

If you publicly share reviews, testimonials, comments, feedback, social posts, or suggestions regarding the Services, you grant Son of a Good Man LLC the right to use, reproduce, display, reference, repost, and distribute that feedback for marketing, promotional, product improvement, or business purposes without additional compensation, unless prohibited by applicable law.

20. Export Compliance

You represent that:

• you are not located in a country subject to U.S. embargoes or sanctions;
• you are not listed on restricted or prohibited party lists;
• your use of the Services complies with export control laws and regulations.

21. General Provisions

21.1 Severability

If any provision is found unenforceable, remaining provisions remain in effect.

21.2 Assignment

We may assign these Terms in connection with mergers, acquisitions, reorganizations, or asset sales.

21.3 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including:

• internet outages;
• cloud provider failures;
• cyberattacks;
• labor disputes;
• governmental actions;
• natural disasters;
• pandemics;
• acts of God.

21.4 Entire Agreement

These Terms constitute the entire agreement between you and Son of a Good Man LLC regarding the Services.

21.5 Waiver

Failure to enforce any provision is not a waiver of rights.

21.6 Survival

The following sections survive termination:

• User Content licenses;
• intellectual property provisions;
• disclaimers;
• indemnification;
• limitation of liability;
• arbitration agreements;
• payment obligations;
• dispute resolution provisions.
